1. Agreement to Terms
By accessing or using Fieldscope ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Fieldscope is a chat-first workspace that helps teams organize conversations, uploaded files, and client context. The Service allows you to:
- Create and manage conversations with AI assistance
- Create and manage client accounts and projects
- Upload files and use them as optional chat context
- Generate drafts, summaries, and planning artifacts from your workspace content
- Store and organize project information inside the platform
3. Account Registration
To use the Service, you must:
- Create an account by providing accurate and complete information
- Maintain the security of your account credentials
- Be at least 18 years of age or the age of majority in your jurisdiction
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4. Workspace Content and File Uploads
When you upload files or add workspace content to Fieldscope:
- You represent that you have the right to upload, store, and process that content
- You remain responsible for the legality, accuracy, and appropriateness of the material you provide
- You authorize us to process that content solely to operate and improve the Service as described in our Privacy Policy
- You may remove workspace content from the Service at any time, subject to normal backups and retention windows
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Violate the rights of others, including intellectual property rights
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use automated systems to access the Service without our permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or modify any proprietary notices or labels
- Use the Service to transmit malware, viruses, or harmful code
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest information about other users without consent
6. User Content and Data
6.1 Your Content
You retain ownership of all content and data you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Service.
6.2 Data Accuracy
You are responsible for the accuracy and legality of your User Content. We do not verify the accuracy of data retrieved from third-party services and are not responsible for any errors or inaccuracies in such data.
6.3 Data Backup
While we implement backup procedures, you are responsible for maintaining your own backups of important data. We are not liable for any loss or corruption of your data.
7. Intellectual Property
The Service, including its design, features, functionality, and content (excluding User Content), is owned by Fieldscope and is protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks, logos, or branding without our prior written consent.
8. Payment and Fees
If you subscribe to a paid plan:
- You agree to pay all fees associated with your subscription
- Fees are billed in advance on a recurring basis
- All fees are non-refundable unless otherwise stated
- We may change our fees with reasonable notice
- You are responsible for all taxes associated with your use of the Service
- Failure to pay may result in suspension or termination of your account
9. Service Availability
We strive to provide reliable service but do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
10. Termination
10.1 By You
You may terminate your account at any time by contacting us or using the account deletion feature in the Service.
10.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to pay applicable fees
- Your use of the Service poses a security risk
- We are required to do so by law
- We discontinue the Service
10.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding the accuracy, reliability, or completeness of data
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding third-party services or integrations
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELDSCOPE SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Actions or omissions of third-party services
- Unauthorized access to or alteration of your data
Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
13. Indemnification
You agree to indemnify, defend, and hold harmless Fieldscope and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
14. Dispute Resolution
14.1 Informal Resolution
Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.
14.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Fieldscope is registered, without regard to its conflict of law provisions.
14.3 Arbitration
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fieldscope regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
16.5 No Agency
No agency, partnership, joint venture, or employment relationship is created as a result of these Terms.
